Usage Agreement
Northeast ADA Center Trainer Leadership Network (TLN) Materials
Effective Date: 11/5/2025
1. Acceptance of Terms
By accessing, downloading, or using any materials from the Northeast ADA Center Trainer Leadership Network (TLN) website, you ("Trainer" or "User") agree to these Terms of Use. If you do not agree to these terms, you may not access or use TLN materials.
2. Eligibility and Prerequisites
Access to TLN materials is restricted to trainers who have successfully completed the TLN Train-the- Trainer Workshop conducted by the Northeast ADA Center or other regional center of the ADA National Network. Use of these materials without successful completion of the workshop is strictly prohibited.
3. Permitted Use
TLN materials, including PowerPoint presentations covering rights and responsibilities under the Americans with Disabilities Act, are provided for training purposes only. Trainers may:
- Use TLN materials to conduct training sessions on ADA-related topics
- Present materials in their original, unmodified form
- Access materials for legitimate training activities within the scope of ADA education
4. Prohibited Uses and Restrictions
4.1 No Commercial Use
Trainers are strictly prohibited from posting or selling content that utilizes TLN materials online. Trainers may charge fees to cover the cost of their time and travel when providing training sessions using TLN materials.
4.2 No Modifications
TLN materials must be used exactly as provided. Trainers may not:
- Alter, edit, or modify any content within the presentations
- Add, remove, or change text, graphics, or formatting
- Combine TLN materials with other content. If trainers have slides describing their organization or other content, these must not include any Cornell, Northeast ADA, or ADA National Network branding, and must be presented as distinctly separate from the TLN materials, such as at the beginning of a session prior to presenting TLN modules.
- Create derivative works based on TLN materials. For example, trainers may not use select slides from the TLN curriculum to incorporate into their own trainings or create new slides that restate TLN curriculum content.
4.3 Image and Photo Restrictions
All images, photographs, graphics, and visual elements contained within TLN materials are strictly protected. Trainers are expressly prohibited from:
- Extracting images or photos for use outside of TLN presentations
- Using any visual elements from TLN materials in other presentations or materials
- Reproducing images or photos in any format for non-TLN purposes
- Sharing visual content separately from the complete TLN presentations
4.4 Attribution Requirements
When presenting TLN materials, trainers must maintain all copyright notices, attributions, and Northeast ADA Center, ADA National Network, and Cornell branding as originally included in the materials.
5. Intellectual Property Rights
All TLN materials, including but not limited to text, graphics, logos, and presentation designs, are the exclusive property of Cornell University and are protected by copyright and other intellectual property laws. These Terms of Use grant only a limited, non-exclusive, non-transferable license to use the materials as specified herein.
Cornell University shall retain exclusive copyright and all intellectual property rights to TLN materials. The trainers and training participants may use the program materials for reference purposes, but any additional use, such as recording or reproducing materials, is not allowed without written permission from Cornell.
6. Revocation Rights
Cornell and the Northeast ADA Center reserves the right to revoke any trainer access to and use of TLN materials at any time, for any reason, with or without notice. Upon revocation:
- The trainer must immediately cease all use of TLN materials
- The trainer must delete or destroy all copies of TLN materials in their possession
- The trainer permission to use TLN materials terminates immediately
7. Limitation of Trainer Obligations
Trainers have no obligations to Cornell or the Northeast ADA Center beyond compliance with these Terms of Use and the reporting of their trainings through the TLN Portal. While ongoing engagement with the Centers of the ADA National Network and participation in TLN professional development offerings are strongly encouraged, The Northeast ADA Center does not require:
- Payment of fees or royalties
- Formal certifications or ongoing training (beyond completion of the Train-the Trainer Workshop)
- Participation in Northeast ADA Center programs or activities
8. Disclaimer of Warranties
TLN materials are provided "as is" without warranties of any kind, either express or implied. Cornell and the Northeast ADA Center make no representations regarding the accuracy, or completeness nor does it claim suitability of the materials for any particular purpose, beyond the suggested audiences provided in the facilitator guide for each module in the TLN Curriculum.
9. Limitation of Liability
In no event shall the Cornell or the Northeast ADA Center be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or inability to use TLN materials, even if advised of the possibility of such damages.
10. Indemnification
Trainers agree to indemnify and hold harmless Cornell and the Northeast ADA Center from any claims, damages, or expenses arising from their use of TLN materials or violation of these Terms of Use. These include attorneys’ fees and costs associated with judgments which have been, or which may be brought against a trainer as the result of negligent acts or omissions of Cornell University or its employees, agents and subcontractors. As a condition of indemnification, each party agrees to notify the other of any asserted claim, and to cooperate fully in the defense of any such claim.
11. Termination
These Terms of Use remain in effect until terminated. Cornell or the Northeast ADA Center may terminate this agreement at any time. Trainers may terminate by ceasing use of TLN materials and deleting all copies in their possession.
12. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of New York State, without regard to conflict of law principles.
13. Modifications to Terms
Cornell or the Northeast ADA Center reserves the right to modify these Terms of Use at any time. Continued use of TLN materials after such modifications constitutes acceptance of the revised terms.

By using TLN materials, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
